    中国梦说:总理,您好!建议工商注册不要对注册地址设置太多限制,尤其是可以放开家庭住宅地址注册公司。现在许多企业的注册地址和实际办公地址并不一致,甚至很多国企也是如此。我建议可以用家庭地址注册公司,家庭住址具有更加稳定的特点,更利于监管。世界上许多伟大的公司,比如苹果、惠普、思科都是在车库里创立的,Facebook、YouTube是在宿舍创立的,就连马云的阿里巴巴也是在他杭州城乡结合部的家里创立的。“大众创业、万众创新”需要部门为创业提供便利,每年交6000元的注册地址费增加了草根创业者的负担。希望领导给予支持!

    工商总局回复:非常感谢您对商事制度改革的关心,您提出的对创业公司注册地址提供便利的建议,同目前推进的工商注册便利化改革方向是完全一致的,简化市场主体住所(经营场所)登记手续也是我们一直在积极推进的一项主要改革举措。

    商事制度改革全面实施以来,为落实《注册资本登记制度改革方案》(国发〔2014〕7号)关于简化市场主体住所(经营场所)登记手续规定,工商总局一直要求工商部门要切实简化登记手续,坚持市场主体“法无禁止即可为”的原则,只要申请人能够提供住所(经营场所)合法使用证明,即应予以登记。

    按照《注册资本登记制度改革方案》的要求,对市场主体住所(经营场所)的条件,各省、自治区、直辖市人民政府根据法律法规的规定和本地区管理的实际需要,按照既方便市场主体准入,又有效保障经济社会秩序的原则,可以自行或者授权下级人民政府作出具体规定。经过我们对各地执行情况进行了跟踪了解,目前,除极少数地市尚未出台规定外,各省地市均已制定实施了住所(经营场所)的管理规定。

    从各地的实施情况来看,目前主要做法有以下几种:一是“一址多照”方式,即在同一地址可以注册多个市场主体,办理多个营业执照;二是“一照多址”方式,既企业在同一登记机关的辖区内设立分支机构时无需申领新的营业执照,在已有营业执照上标注包括多个分支机构经营场所在内的多个地址即可;三是创新了集中登记、商务秘书企业等新型住所登记方式,由政府划定特定区域作为特定创业主体、特定行业企业的住所,或者由秘书企业进行住所托管,解决了场地资源的稀缺性;四是放开住宅登记。目前大部分地方均允许将居民住宅登记为经营场所,只是需要提供利害关系业主的同意证明文件。也有部分地方有条件地放开了住宅经商的登记条件,如重庆、陕西等地区规定了从事特定行业(如电子商务、无实体店铺的网络交易服务、创意、设计等)的企业不需要出具业委会同意的条件。

    推进住所(经营场所)登记便利化是一项综合性的工作,住宅(经营场所)的管理涉及政府规划、土地、房屋等多项政策规定,分别由国土、规划、住建、房屋管理、公安、环保、安全监管等部门依法管理,各地实际情况不同,因此各地出台的文件和措施规定也有所差别。我们正在指导地方工商、市场监管部门推动政府进一步研究简化住所登记的办法,提高可操作性,在允许“一址多照”、“一照多址”、“集群登记”等便利模式的基础上,进一步释放和利用各类场地资源、降低创业门槛和限制,有条件、有计划、有步骤地放宽住所(经营场所)条件,释放住所(经营场所)资源。
