注册公司好?还是个体户好

1、不记账之说

《个体工商户建账管理暂行办法》规定:

个体户也得建立账本,而且和公司建立的账本一样。如果实在达不到建账标准的个体户,也得经过税务机关批准,建立收支凭证粘贴簿、进货销货登记簿。

当然《办法》里也说了:个体户可以聘请会计代理记账机构代为建账和办理账务事宜。

 

2、免税之说

这是指的个体户月收入3万元以下可以免增值税。

注意:这个季销售额9万以内免征增值税的优惠政策可不仅仅是针对个体户!是对所有符合要求的小规模纳税人,不论你是个体户还是公司。

换句话说,如果你是个体户,但已经申请了一般纳税人,那这个优惠政策和你没有一毛钱关系。

况且,除了增值税之外,公司要交企业所得税,而个体户要交个人所得税,称之为“个人生产经营所得”,性质都是一样的。

敢问,个体户哪儿免税了?

 

3、“免于检查”之说

首先,个体户每年6月也必须年报!不年报的人家还是查你!

《个体工商户条例》第14-15条写到:

个体工商户应当于每年1月1日至6月30日,向登记机关报送年度报告。登记机关将未按照规定履行年度报告义务的个体工商户载入经营异常名录,并在企业信用信息公示系统上向社会公示。

此外,一些开小餐馆的个体户,天天有人来检查食品安全;一些开民宿的,搞工作室的,人家肯定查你消防问题…

 

4、“行政审批流程较少”之说

,个体户和一般公司一样,凡是经营范围涉及前置或后置审批的,都是一样要办理审批才行。

不需要审批的,全网上商事登记流程也完全一样。不存在谁的流程比较少的问题。

并且,个体户有任何工商变更事项,都和普通公司一样,必须去工商局备案!

《个体工商户登记管理办法》第三十六条规定:

个体工商户登记事项变更,未办理变更登记的,由登记机关责令改正,处1500元以下的罚款;情节严重的,吊销营业执照。

 

个体户和注册公司到底谁好呢?

1、个体户的名称中是不能有“公司”二字的

想要高端、大气、上档次,还是注册公司吧!

2、个体户是不能转让的

如你想变更个体户的经营者,不能像公司那样,找到一个合适的人就转让出去。

因为个体户的经营者一般是不能变更的,要变也只能是组成形式是家庭经营的,在已备案的参与经营的家庭成员范围内变更。

3、个体户开分店有条件

想开分店?你以为像公司成立分公司那么容易啊!

 

一个个体户只能有一个经营场所。

那就再注册一家个体户好了,不好意思,一个人只能注册一家个体户。那公司呢?十家、百家随便你!

4、个体户的经营风险比较大

个体户和有限责任公司的更大区别在于:个体户承担的是无限责任。

你开一家小餐馆,吃出人命了,你得用你全部身家去赔偿!如果是公司呢?就以出资额为限了,不至于倾家荡产。

5、个体户能享受的各类扶持奖励政策较少

因为个体户存在的意义主要是满足一个家庭的温饱,至于扩展团队,发展壮大,乃至成为行业标杆,这都不是给个体户的要求,自然也没有照顾到各基础行业个体户的各类扶持、奖励政策。

所以,你还执着于非个体户不可吗?
