特别提醒注册公司时经营范围莫乱写

现在注册公司,由于注册资本实行认缴制,所以注册公司很简单。那么注册公司,经营范围重要吗?肯定很重要!

但是,各位企业主,注册公司的经营范围,你认真考虑了吗?经营范围的顺序考虑清楚了吗?也就是说,您公司的经营范围及顺序,是深思熟虑得出的,还是人云亦云照搬的呢?如果公司的经营范围及顺序随便填写,会有什么后果呢?分析如下:

1、一般纳税人认定标准

大家都知道,简单来说,一般纳税人的认定标准如下:

工业企业年应税销售额50万元以上;

商业企业年应税销售额80万元以上;

营改增服务企业年应税销售额500万元以上。

如果某个企业经营范围本来是营改增服务,但是登记填报的经营范围为工业项目或商业项目,就会导致税务机关在核定税种时出现错误。于是,在该企业年应税销售额超过50万元(或80万元)时,系统就会提示该企业办理一般纳税人登记,实际上该企业经营的是营改增服务项目,距离限额标准差的还很远,导致税企之间出现争议。

2、优惠政策

某些优惠政策主要针对某类项目或某个行业,税务机关会根据纳税人填报的经营范围进行管理,如果纳税人填报的经营范围出现错误,就会导致该享受的税务机关不让享受,不该享受的税务机关可能会提示企业提供有关证明材料享受优惠,最终也会导致税企之间出现争议。

3、财政补贴

某些地区性财政补贴需要纳税人提供营业执照等相关资料,还要通过比对经营范围和开具的发票内容确认财政补贴金额。如果纳税人填报的经营范围不属于财政补贴的经营范围,尽管实际经营业务属于财政补贴的范围,这样同样会导致税企争议。

那么问题来了,如何避免出现上述情形呢?

1、确定经营范围时,不仅要考虑目前的要开展的业务,还要考虑将来计划开展的经营业务,做到未雨绸缪。

2、主营业务要放到位,不要乱写,更不要随便照搬别人的经营范围,尽量做到符合实际情况。

3、经营范围不是越多越好,应该是越精越好。

4、如果要扩大经营范围,要及时办理工商及税务的变更登记。
